FEDSALESTRACKER™ END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legally binding agreement between Sanctum Technologies LLC d/b/a Sanctum Federal (“Company,” “we,” “us,” or “our”) and you, an individual authorized end user (“End User,” “you,” or “your”).

PLEASE READ CAREFULLY. BY CLICKING “I AGREE,” ACCESSING, OR USING FEDSALSESTRACKER (“FST”), YOU ACCEPT AND AGREE TO BE BOUND BY THIS EULA.

If you do not agree, you must not access or use the platform.

1. Authorized Users Only

Access to FedSalesTracker is permitted solely for individuals whose employer, organization, or contracting entity (an “Authorized Organization”) has executed a valid written agreement with the Company governing organizational access to the FedSalesTracker platform (“Organization Agreement”).

If your organization has not signed an Organization Agreement, or if you are not expressly authorized by your organization, you are NOT permitted to access or use FST.

By using FST, you represent and warrant that:

  1. Your organization has an active Organization Agreement;

  2. You are authorized by your organization; and

  3. You are accessing the platform solely on behalf of that organization.

Unauthorized access is strictly prohibited.

2. Relationship to the Organization Agreement

This EULA governs your individual use of FST.
Your organization’s rights arise from the Organization Agreement.

  • This EULA does not modify, expand, or limit your organization’s rights.

  • Your access exists only through your organization’s agreement.

  • If this EULA conflicts with the Organization Agreement, the Organization Agreement controls.

Your right to use FST terminates immediately if your organization’s agreement ends or your authorization is revoked.

3. License Grant

The Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use FST:

  • only as an authorized user of an Authorized Organization;

  • only for internal business purposes;

  • only within the scope permitted by the Organization Agreement;

  • only during the period of authorized access.

You obtain no ownership rights in FST, its data, or its content.

4. Prohibited Conduct

You agree not to engage in any of the following:

4.1 No Copying, Downloading, or Extraction

  • Downloading, exporting, scraping, copying, or extracting any data, charts, relationships, structures, or content;

  • Taking screenshots or reproducing any UI, dataset, workflow, or page layout;

  • Storing platform content outside FST.

4.2 No Competitive Activity

  • Building, training, enhancing, or supporting any competing tool, model, or product using FST or its concepts;

  • Using FST data or insights in consulting, analysis, product development, or internal tool creation;

  • Recreating any part of the database, structure, hierarchy, or logic.

4.3 No Reverse Engineering

  • Reverse engineering, decompiling, disassembling, analyzing, or deriving source code, architecture, or data models;

  • Attempting to bypass or circumvent FST security, access controls, or restrictions.

4.4 No Automation, Integration, or System Linking

  • Using bots, crawlers, scripts, automation tools, macros, or unauthorized APIs;

  • Integrating FST with any CRM, ERP, BI tool, data lake, warehouse, analytics system, or external environment;

  • Creating data pipelines or automated routines of any kind.

4.5 No Credential Sharing or Unauthorized Access

  • Sharing login credentials;

  • Allowing others to use your account;

  • Accessing accounts or data you are not authorized to access.

4.6 No Public Disclosure

You may not publicly disclose, publish, demonstrate, review, or discuss FST—including screenshots, features, data, structure, or performance—without the Company’s written consent.

4.7 No Unauthorized Means of Access

You may not create false identities, fake accounts, or access FST through unauthenticated or prohibited means.

5. Confidentiality

All information within FST—including datasets, structures, relationships, workflows, features, UI designs, charts, and underlying logic—is Confidential Information.

You must:

  • keep all Confidential Information strictly confidential;

  • use it only as permitted;

  • restrict access to authorized individuals;

  • immediately report suspected breaches or unauthorized disclosures.

These obligations survive termination of your access.

6. Security Responsibilities

You agree to:

  • protect your login credentials;

  • prevent unauthorized access to your account;

  • immediately notify the Company of suspicious activity, unauthorized access, or security incidents.

You are responsible for all activity conducted through your credentials.

7. Feedback and Data Contributions

Any enhancements, corrections, updates, suggestions, ideas, or data contributions you provide:

  • become the exclusive property of the Company;

  • may be used for any purpose;

  • are provided without compensation;

  • are not owned by you or your organization.

You assign all rights to the Company.

8. Telemetry and Monitoring

You consent to the Company’s collection and use of:

  • usage data and behavioral analytics;

  • session logs and clickstream;

  • performance diagnostics;

  • compliance and security monitoring.

Monitoring may occur in real time.

9. No Duty to Continue Service

The Company may:

  • modify, suspend, restrict, or discontinue FST,

  • remove features,

  • change functionality,

  • or terminate access entirely,

at any time, without notice or liability.

The Company is under no obligation to maintain or continue providing the Service.

10. Not for Production Use

FST is provided for evaluation and authorized internal use only.
You agree not to use FST for:

  • production workloads,

  • mission-critical operations,

  • revenue-critical decisions,

  • or any purpose requiring guaranteed accuracy.

11. Termination

Your access may be terminated:

  • if your organization’s agreement ends;

  • if your organization revokes authorization;

  • if you violate this EULA or misuse FST;

  • or at the Company’s sole discretion.

Upon termination, you must:

  • immediately stop using FST;

  • delete all Confidential Information;

  • comply with all continuing obligations.

12. Disclaimers

FST is provided “AS IS” and “AS AVAILABLE.”

The Company disclaims all warranties, express or implied, including:

  • merchantability;

  • fitness for a particular purpose;

  • accuracy, completeness, or reliability of data;

  • uninterrupted access.

Use is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law:

  • The Company is not liable for indirect, incidental, punitive, exemplary, or consequential damages.

  • The Company’s total liability to any End User shall not exceed $100.

  • Any claim must be filed within two (2) years of the event.

14. Export Compliance

You may not use or access FST in violation of:

  • ITAR

  • EAR

  • OFAC

  • U.S. export restrictions

  • government security clearance requirements

You may not share content with foreign nationals or restricted entities.

15. Governing Law & Venue

This EULA is governed by the laws of the State of Delaware.
All disputes must be resolved exclusively in the state or federal courts located in Arizona, and you consent to their jurisdiction.

  • Feedback & Ownership

  • Disclaimers

  • Limitation of Liability

  • Export Compliance

  • Governing Law & Venue

  • Survival itself

17. Entire Agreement (End User Perspective)

This EULA:

  • governs your individual use of FST;

  • supplements your organization’s separate agreement;

  • contains all terms between you and the Company for personal usage.

18. Acceptance

By clicking “I Agree,” logging in, or using FST, you acknowledge that:

✔ Your organization has a valid Organization Agreement
✔ You are authorized to access FST
✔ You accept and agree to all terms in this EULA
✔ You understand that violations may result in immediate termination

If you do not agree, do not use the platform.
